Supplier Terms
Standing terms. Last updated: October 2026.
Scope
These standing terms apply to suppliers of goods or services engaged by VoucherStub (the editorial team) and Grundner Media GmbH (the legal entity). They supplement, and in case of conflict are superseded by, a written supply agreement signed by both sides for a specific engagement.
Orders
A purchase order issued by us, countersigned by a managing director, is the only binding instruction. Verbal requests from editorial staff may be fulfilled at the supplier's risk unless followed by a written purchase order within 5 business days.
Pricing and invoicing
- Prices stated in a purchase order are fixed for the stated scope. Scope changes require a signed change order before work on the change begins.
- Invoices are paid 30 days from receipt by SEPA transfer, subject to no reasonable dispute. Shorter payment terms require a signed addendum.
- Late-payment interest, where applicable under § 288 BGB, accrues at the statutory rate for business transactions.
Confidentiality
Information supplied in the course of an engagement is treated as confidential by both sides. Editorial drafts, commission figures, advertiser correspondence and reader data are categorised as confidential by default. The obligation survives termination for three years.
Data processing
Where a supplier processes personal data on our behalf, a Data Processing Agreement under GDPR Art. 28 applies in addition to these terms. Our standard DPA is sent at the point of engagement and must be countersigned before any personal data is handed over.
Intellectual property
Deliverables produced to our specification are assigned to us on payment. Supplier-owned background IP incorporated into a deliverable is licensed to us on a perpetual, worldwide, royalty-free basis for the deliverable's intended use.
Termination
Either side may terminate for convenience on 30 days' written notice. Either side may terminate immediately for material breach not cured within 14 days of notice. On termination, work in progress is invoiced to the point of termination and transferred to us in a reasonable form.
Governing law
These Supplier Terms are governed by German law. Jurisdiction: Berlin.
